Terms of Service

These terms govern your use of the Records Referee platform. Please read them carefully — they constitute a binding agreement between you and Records Referee.

Plain English: Use the platform responsibly, pay your subscription, don't do anything illegal, and we'll keep the platform running. Either party can terminate with notice. Your data is yours.

1. Acceptance of Terms

By creating an account or using the Records Referee platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access. You must provide accurate, current, and complete information during registration and keep it updated.

3. Subscription & Billing

The Service is offered on a subscription basis. By subscribing, you agree to pay the applicable fees as displayed at the time of purchase. Subscriptions automatically renew unless cancelled. You may cancel at any time from your account settings; cancellation takes effect at the end of your current billing period.

Refunds are provided in accordance with our Refund Policy. Failure to pay may result in suspension or termination of your account.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any law, regulation, or third-party rights.
  • Upload malicious code, viruses, or harmful content.
  • Interfere with or disrupt the Service or servers.
  • Attempt to gain unauthorized access to any part of the Service.
  • Use the Service to send spam, harass, or abuse others.
  • Reverse engineer, decompile, or attempt to extract source code.
  • Resell, sublicense, or redistribute the Service without our written consent.

5. Your Content

You retain ownership of all data, documents, and content you upload to the Service ("Customer Data"). You grant us a limited license to host, process, and display your Customer Data solely as necessary to provide the Service. You are responsible for the legality and accuracy of your Customer Data.

6. Our Service

We will use commercially reasonable efforts to provide the Service with high availability. However, the Service is provided "as is" and we do not guarantee uninterrupted operation. We may modify, update, or discontinue features with reasonable notice.

7. Intellectual Property

The Service, including all software, designs, trademarks, and content (excluding Customer Data), is owned by Records Referee and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

8. Termination

You may terminate your account at any time. We may suspend or terminate your account immediately if you breach these Terms, fail to pay, or use the Service in a way that harms us or other users. Upon termination, you may export your Customer Data within 30 days, after which it will be permanently deleted.

9. Limitation of Liability

To the maximum extent permitted by law, Records Referee shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Service. Our total liability for any claim shall not exceed the amounts you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Records Referee, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your Customer Data, or your violation of these Terms.

11. Governing Law & Disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict of laws principles. Any dispute arising from these Terms or the Service shall be resolved in the state or federal courts located in Florida. You consent to the personal jurisdiction of those courts.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms.
